1. Acceptance of Terms
This Master Terms & Conditions document (this “Agreement”) contains the terms and conditions that govern your use of Prism HRC’s website, services and related offerings (collectively, the “Services”), and is a contract between Prism HRC (referred to as “Prism HRC”, “we”, “us” or “our”) and you or the entity you represent (referred to as “You”, “Your” or “User”).
Prism HRC is a workforce solutions partner with expertise in recruitment, contract staffing, payroll management and Global Mobility & Compliance Solutions.
If you are an individual using the Services for your own purposes: (1) all references to “Customer/Client/you/your/user” are to you; and (2) you represent and warrant that you are at least 18 years of age (or have otherwise reached the age of majority where you reside) and that you have the authority to enter into this Agreement.
If you are using the Services on behalf of an entity or organization: (1) all references to “Customer/Client/you/your/user” are to that entity or organization; and (2) you represent and warrant that you have the authority to bind that entity to this Agreement.
By accessing or using our Services, creating an account, or clicking any acceptance mechanism provided on our website or in agreements, you acknowledge that you have read, understand, and agree to be bound by this Agreement.
This is an electronic record as defined under the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023 (and where applicable, the GDPR). This electronic record is generated by a computer system and does not require physical signatures.
2. Description of Services
Prism HRC provides workforce solutions including, but not limited to:
IT and non-IT recruitment and placements;
Contract staffing and payroll management; and
Global Mobility & Compliance Solutions such as relocation management, immigration support, Employer of Record (EOR)/Professional Employer Organization (PEO) services, and destination support.
Services are provided pursuant to separate engagement letters, service agreements or purchase orders (each a “Service Agreement”) between Prism HRC and the relevant Client, which will set out the detailed scope and terms for the particular engagement.
3. Service Fees and Payment Terms
Fees for Prism HRC’s Services are as agreed in the applicable Service Agreement or engagement letter. Unless expressly stated otherwise, fees and charges:
are exclusive of applicable taxes, duties and government charges which will be payable by you;
are due and payable in accordance with the invoice terms set out in the Service Agreement; and
are non-refundable except as otherwise set out in the applicable Service Agreement.
Prism HRC may suspend or terminate provision of Services (in whole or in part) where invoiced amounts remain outstanding beyond the payment terms specified in the Service Agreement. Prism HRC may also charge interest or late fees on overdue amounts as specified in the Service Agreement.
4. Intellectual Property Rights
All rights, title and interest in and to Prism HRC’s materials, methodologies, templates, tools, trade names, logos and other intellectual property used to deliver the Services remain the exclusive property of Prism HRC or its licensors. Except for the limited rights expressly granted in a Service Agreement, no license or other rights in Prism HRC intellectual property are transferred to the Client or User.
5. User Obligations and Restrictions
You agree to:
provide complete, accurate and up-to-date information required by Prism HRC to perform the Services;
cooperate with Prism HRC and respond promptly to reasonable requests for information or approvals; and
use the Services in accordance with applicable laws and these Terms.
You must not:
misuse the Services or facilitate misuse by others;
impersonate another person or misrepresent your affiliation with a person or entity; or
copy, modify, reverse engineer or attempt to derive the source code of any Prism HRC tools or materials, except as expressly permitted by Prism HRC in writing.
Candidates submitting information through Prism HRC represent and warrant that the information provided (including CVs, qualifications and employment history) is accurate and complete. By submitting personal information, candidates consent to Prism HRC sharing such information with prospective employers and third parties as necessary to perform the Services, subject to Prism HRC’s Privacy Policy.
6. Cancellation, Termination and Refund Policy
Termination rights, notice periods and any refunds (if applicable) will be governed by the Service Agreement between Prism HRC and the Client. Where no specific terms are agreed, Prism HRC may terminate Services on reasonable notice. Fees paid in advance will be handled as specified in the applicable Service Agreement; absent an agreement to the contrary, payments are non-refundable.
Prism HRC reserves the right to suspend or terminate Services immediately where required by law, or where a User has materially breached this Agreement and has not remedied the breach within a reasonable period after notice.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Prism HRC’s liability under or in connection with this Agreement is limited to direct damages and shall not exceed the amounts actually paid by the Client to Prism HRC under the applicable Service Agreement in the twelve (12) months preceding the event giving rise to liability.
Prism HRC shall not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profit, loss of business, loss of data, or loss of goodwill, arising out of or in connection with the Services, even if Prism HRC has been advised of the possibility of such damages.
Nothing in this Agreement shall exclude or limit liability for death or personal injury caused by Prism HRC’s negligence or for any other liability which cannot legally be excluded.
8. Force Majeure
Prism HRC shall not be liable for any failure or delay in performing its obligations caused by circumstances beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, civil unrest, strikes, power failures, telecommunications failures or governmental actions. Where a force majeure event continues for a prolonged period, either party may terminate the affected Service Agreement on reasonable notice.
9. Confidentiality and Data Protection
Prism HRC will treat client and candidate information as confidential and will use and process personal data in accordance with applicable data protection laws and Prism HRC’s Privacy Policy. By using Prism HRC’s Services you consent to the collection, storage, processing and transfer of personal information as described in Prism HRC’s Privacy Policy. Prism HRC may share candidate information with potential employers or third parties where necessary to provide the Services, and only to the extent permitted by law and the Privacy Policy.
10. No Guarantee of Placement or Outcome
While Prism HRC uses industry knowledge, market research and professional judgment to identify suitable candidates and provide workforce solutions, Prism HRC does not guarantee successful placement, employment, performance, or any specific outcome for any candidate or Client. Final hiring decisions, employment terms and working relationships are determined solely by the hiring organization.
11. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.
12. Changes to Terms
Prism HRC may update or amend these Terms from time to time. Where reasonably practicable, Prism HRC will notify Users of material changes. Continued access to or use of the Services after such updates will constitute acceptance of the revised Terms.
